Yes / No Adviser/broker status for autonomous trading agents open

By 30 June 2027, will the SEC file an enforcement action — or a US federal court issue a ruling — that expressly treats the developer of a third-party autonomous AI trading agent, or the platform enabling it, as an investment adviser under the Advisers Act or a broker under the Exchange Act?

Five US retail brokerages — Robinhood, Public, SoFi, Coinbase, Webull — now let customers point an AI agent at a funded account, and all five disclaim responsibility for what the agent does. Husch Blackwell's 20 July 2026 analysis names the unanswered statutory question underneath that disclaimer: whether a fully autonomous system that recommends or effects trades for a retail user is giving "investment advice," and if so, whether the adviser is the agent's developer, the deploying platform, or the licensing firm. The parallel Exchange Act question is whether a firm that creates the pathway through which that software places orders has become a broker. Seven House Financial Services members put a version of this to SEC Chair Atkins on 23 June 2026 with a 31 July deadline; no public response followed.

State the rule, then follow it. The problem here is that nobody has stated the rule, and the市场 is running anyway. My call is that it stays unstated through this horizon. Enforcement-first lawmaking is slow by construction: the SEC needs a defendant, a loss, and a theory it is willing to lose on, and the scienter element that anchors most fraud theories does not survive contact with a system where no individual formed intent. Husch Blackwell's own conclusion is that absent a clearer framework from Congress, this gets settled by contested litigation over years — not quarters. Against that, the pressure is real: a congressional letter already sits unanswered, retail exposure is growing at five venues, and one sufficiently large agent-caused loss would compress the timeline fast. Fifteen percent prices "the catalyst arrives early" without pretending a novel status theory clears an agency or a court inside twenty-two months. Resolution: YES if, on or before 30 June 2027, the SEC publishes an enforcement action (litigation release, complaint, or administrative proceeding) or a US federal court issues a ruling that expressly applies investment-adviser or broker status to a third-party autonomous trading agent's developer or to the platform enabling it. Formal rulemaking or interpretive guidance reaching the same conclusion also resolves YES. Speeches, staff statements, no-action letters, congressional correspondence, and actions against the brokerage solely in its existing registered capacity do NOT count. Resolved from SEC litigation releases and ALJ/administrative proceedings, the Federal Register, and PACER.
